Terms of Service

Please read these terms carefully before using ShiftMD.

Effective date: March 1, 2026

01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ShiftMD, Inc. ("ShiftMD," "we," "us," or "our"), governing your access to and use of the ShiftMD platform, including all software, services, and features made available at shiftmd.co and app.shiftmd.co (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

02 Service Description

ShiftMD is an AI-powered staff scheduling platform designed for urgent care clinics. The Service enables clinic administrators to automatically generate monthly schedules for providers, medical assistants, front desk staff, and billing personnel based on configured clinic rules, coverage requirements, and staff availability.

Key features include, but are not limited to:

  • AI-generated schedule creation
  • On-call rotation management
  • Shift swap and trade workflows
  • Staff availability and preference management
  • Role-based coverage mapping
  • Multi-location support
  • CSV payroll export and pay period reporting
  • Push notifications for staff

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to active subscribers.

03 Accounts & Access

Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Authorized Users

Your subscription plan defines the maximum number of staff members ("Seats") that may be added to your account. Each Seat corresponds to one individual with access to the platform. You may not share login credentials between multiple individuals.

Administrator Responsibility

The account owner and designated administrators are responsible for managing user access, ensuring appropriate permissions are assigned, and ensuring all users comply with these Terms.

Account Security

You agree to notify us immediately at support@shiftmd.co if you become aware of any unauthorized use of your account. ShiftMD is not liable for any loss or damage arising from your failure to maintain account security.

04 Subscriptions & Billing

Free Trial

New accounts receive a 60-day free trial with no credit card required. Trial accounts have access to all features of the Growing Clinic plan. At the end of the trial period, you must select a paid plan to continue using the Service. We will provide notice before your trial expires.

Subscription Plans

ShiftMD offers the following subscription tiers, billed monthly or annually:

  • Small Clinic — Up to 5 providers and staff: $49/month
  • Growing Clinic — Up to 10 providers and staff: $79/month
  • Mid-Size — Up to 20 providers and staff: $119/month
  • Large Group — Up to 40 providers and staff: $169/month
  • Enterprise — 41+ providers and staff: $219/month

Add-Ons

  • Additional staff members (beyond plan limit): $12/month per person
  • Additional clinic locations (beyond first location): $99/month per location
Upgrading is always cheaper. If adding individual staff members via the $12/month overage rate would cost more than upgrading to the next tier, we recommend upgrading. For example, adding 4 staff members at $12/month ($48) costs more than the difference between Small and Growing Clinic plans ($30). Upgrading is always the more cost-effective option at 4+ overage users on any plan.

Annual Billing

Annual subscriptions are billed upfront and include 2 months free (equivalent to approximately 17% savings). Annual plans are non-refundable except as required by applicable law.

Payment & Renewal

Monthly subscriptions renew automatically on the same day each month. You authorize ShiftMD to charge your payment method on file for all applicable fees. Failed payments may result in suspension of your account.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@shiftmd.co. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

Price Changes

We reserve the right to change subscription pricing with 30 days written notice to active subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

05 AI Usage & Rate Limits

ShiftMD's core functionality is powered by artificial intelligence, including large language models and scheduling optimization algorithms (collectively, "AI Features"). Your access to AI Features is subject to the usage limits defined by your subscription tier.

AI Schedule Generation

Each use of the AI schedule generation engine consumes AI credits. Credits reset monthly on your billing date. The following table defines the AI generation limits per plan:

What counts as a generation? Each time you request a full AI-generated schedule for a location and time period, one generation credit is consumed. Viewing, editing, or publishing an already-generated schedule does not consume credits. Manual schedule edits made after AI generation do not consume credits.

Rate Limit Enforcement

When you approach your monthly AI generation limit, ShiftMD will notify you at 80% and 95% of consumption. Upon reaching your limit, AI generation will be paused until your billing cycle resets or you upgrade your plan. Manual scheduling remains available at all times regardless of AI credit status.

Overage Credits

Customers on Small, Growing, Mid-Size, and Large Group plans may purchase additional AI generation credits at $5 per 5 generations ($1 per generation). Overage credits do not roll over to the next billing period. Enterprise customers receive unlimited generations and are not subject to overage charges.

Queue Priority

During periods of high demand, AI generation requests are processed according to plan tier. Enterprise customers receive a dedicated processing queue. Mid-Size and Large Group customers receive priority queue access. Small and Growing Clinic customers are served in standard queue order. Queue wait times are typically under 60 seconds regardless of tier.

AI Output Accuracy

ShiftMD's AI scheduling engine is designed to optimize schedules based on the rules, preferences, and constraints you configure. However, AI-generated schedules are recommendations, not guarantees. You are solely responsible for reviewing all AI-generated schedules before publishing them to your staff and for ensuring compliance with applicable labor laws, regulations, licensing requirements, and clinical coverage standards.

Important: ShiftMD does not provide medical, legal, or HR compliance advice. The responsibility for determining appropriate staffing levels, provider-to-patient ratios, and regulatory compliance remains entirely with the clinic administrator.

Rate Limit Changes

ShiftMD reserves the right to modify AI usage limits, overage pricing, and queue priority structures with 30 days notice to active subscribers. We will never reduce limits below the published tier definitions for your active billing period without issuing a prorated credit.

Prohibited AI Usage

You may not use ShiftMD's AI Features to:

  • Reverse-engineer, extract, or replicate the underlying AI models or scheduling algorithms
  • Systematically generate and export schedules for resale or redistribution to third parties
  • Conduct automated load testing, scraping, or stress testing of AI endpoints
  • Circumvent rate limits through multiple accounts or API abuse

06 Data & Privacy

Your Data

You retain all ownership rights to the data you input into ShiftMD, including staff information, scheduling rules, clinic configurations, and generated schedules ("Customer Data"). ShiftMD does not sell Customer Data to third parties.

Data Use

We use Customer Data to provide and improve the Service, including training and improving our AI scheduling models using anonymized, aggregated data. We will not use individually identifiable Customer Data to train AI models without your explicit consent.

HIPAA

ShiftMD is a scheduling and workforce management tool. We do not intentionally collect, process, or store protected health information ("PHI") as defined by HIPAA. You agree not to input PHI into the Service. ShiftMD does not function as a covered entity or business associate under HIPAA with respect to scheduling data.

Data Retention

Upon cancellation, your data is retained for 90 days to allow for export or reactivation. After 90 days, account data is permanently deleted. You may request immediate deletion by contacting support@shiftmd.co.

Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

07 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable federal, state, or local laws or regulations
  • Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service beyond what is explicitly permitted by our API documentation
  • Impersonate any person or entity or falsely represent your affiliation
  • Share your account credentials with individuals outside your organization

Violation of this section may result in immediate termination of your account without refund.

08 Intellectual Property

ShiftMD and its licensors retain all right, title, and interest in and to the Service, including all software, algorithms, AI models, user interfaces, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term solely for your internal business operations.

You retain all rights to Customer Data. By using the Service, you grant ShiftMD a limited license to process and store your Customer Data solely as necessary to provide the Service.

09 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SHIFTMD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or completely secure
  • Warranties regarding the accuracy, completeness, or suitability of AI-generated schedules
  • Warranties that the Service will meet your specific clinical or regulatory requirements

You acknowledge that AI-generated schedules are tools to assist human decision-making and are not substitutes for professional judgment.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIFTMD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Scheduling errors, staffing gaps, or coverage failures
  • Data loss or corruption
  • Costs of substitute services

IN NO EVENT SHALL SHIFTMD'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11 Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice or liability, for any reason including if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, disclaimers, limitation of liability, and general provisions survive termination.

12 Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days notice via email to the address on your account or via in-app notification. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must cancel your subscription before the effective date of the changes.

These Terms shall be governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.
